Basically, what you want is:
- Ethernet-over-Serial between your two boxes and - have each box bridge ethernet frames
  between its eth and serial interfaces.

To do Ethernet-over-Serial you probably need to use HDLC as in:
- Ethernet-over-HDLC-over-Serial or
- Ethernet-over-PPP-over-HDLC-over-Serial.

I don't know about the former,
but the latter can be done with a standard Linux build and is called a "PPP half-bridge".

  1. Create a PPP link over the Serial line between the two boxes + use BCP to do Ethernet-over-PPP + use async PPP (this usually implies the use of HDLC)
  2. Have each box bridge between its eth and the PPP interface.

You may want to read some howto's and
look for docs regarding "PPP half-bridge".
