You might want to check out Jabber (http://www.jabber.org/), an open-source protocol for real-time messaging and presence. I haven't had any personal experience with it, but it seems to meet your requirements well. The price is right, and since it's open-source you should be able to customize it to meet your needs. In terms of security, Jabber.org makes the following claims (from http://www.jabber.org/about/overview.html):

"Any Jabber server may be isolated from the public Jabber network, many server implementations use SSL for client-server communications, and numerous clients support PGP/GPG for end-to-end encryption; more robust security using SASL and session keys is under development."

Maybe someone who has implemented Jabber in a corporate environment can contribute some insight?
